Acceptance of Terms of Use

    These terms of use are entered into by and between you and ESP Ventures, LLC, a Delaware limited liability company (the “Company,” Eastern Standard Provisions, “we,” or “us”). These Terms of Use (the “Terms” or “Agreement”) govern your access to and use of our websites located at www.esprovisions.com and our social media accounts (collectively, the “Site”).

    Please read this Agreement carefully before using the Site. By accessing, browsing, subscribing to, or using the Site, you acknowledge that you have read, understood, and agree to be bound by this Agreement and to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site.

    The Site is offered to users who are 18 years of age or older and who reside in the United States or its territories or possessions (collectively, the “US”). By using the Site, you represent and warrant that you meet these eligibility requirements.

    The contents of the Site are protected by law, including United States copyright law and international treaties. The Site is controlled and operated by ESP Ventures, LLC from its offices in the United States. We cannot guarantee that the Site is appropriate or available for users outside the US. Accessing or using the Site outside the US is at your own initiative, and you are responsible for compliance with applicable local laws.

    Changes to the Terms of Use

    We may revise this Agreement at any time by updating these Terms and posting them on the Site. You agree to be bound by such revisions and should periodically review the page for updates. Changes to dispute resolution procedures (see Governing Law and Jurisdiction) will not apply retroactively to disputes with actual notice before the change.

    Accessing the Site, Registration, Accounts, and Passwords

    We reserve the right to change or remove the Site, in whole or in part, without notice. Portions of the Site may require registration and account credentials (“Account Credentials”). You are responsible for providing accurate, current, and complete information in your account and maintaining the confidentiality of your credentials.

    You must:

    • Maintain access to the Site (internet and device).

    • Ensure all users of your connection comply with these Terms.

    • Keep your Account Credentials confidential.

    • Notify us immediately of unauthorized access or security breaches.

    • Log out at the end of each session, especially on shared or public devices.

    ESP Ventures, LLC may terminate your access for providing false information or violating these Terms. Your information is governed by our Privacy Policy, and you consent to its terms.

    Payment

    We use third-party providers (e.g., Stripe, PayPal) to process payments. Purchases completed on third-party sites are subject to their privacy policies. You represent that you are authorized to use the payment method provided. Delivery fees may apply and will be communicated at checkout. Refunds are issued at our discretion.

    Use Restrictions and Intellectual Property

    All content on the Site (“Company Content”) is owned by ESP Ventures, LLC, its licensors, or affiliates. Company Content is protected under copyright, trademark, patent, trade secret, and other intellectual property laws. You may not modify, copy, distribute, transmit, display, perform, reproduce, or create derivative works from Company Content without prior written permission.

    You may use the Site only as permitted by law. Unauthorized use may violate copyright, trademark, and other laws.

    Prohibited Uses

    You may not:

    • Violate applicable laws or regulations.

    • Exploit or harm minors.

    • Send spam, chain letters, or unsolicited advertising.

    • Impersonate the Company, employees, or others.

    • Restrict or inhibit others’ use of the Site.

    • Introduce viruses or harmful material.

    • Attempt unauthorized access to the Site or connected servers.

    • Perform denial-of-service attacks or similar interference.

    Termination of Your Account

    ESP Ventures, LLC may suspend or terminate your account at any time, with or without notice, for violations of these Terms or other reasons. You may terminate your account by emailing admin@esprovisions.com. Termination does not affect any rights or remedies we are entitled to at law or in equity.

    Disclaimer of Warranties

    USE OF THE SITE IS AT YOUR OWN RISK. ALL INFORMATION IS PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT, TO THE EXTENT LEGALLY PERMISSIBLE.

    Limitation of Liability

    ESP Ventures, LLC shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from your use of the Site, including loss of profits, data, or goodwill. Liability is limited to the extent permitted by law.

    Indemnification

    You agree to indemnify and hold harmless ESP Ventures, LLC, its affiliates, and service providers from any claims, damages, or expenses arising from your violation of these Terms or use of the Site.

    Governing Law and Dispute Resolution

    This Agreement is governed by the laws of Delaware, without regard to conflict-of-laws principles. Claims or disputes shall first be submitted to mediation before a mutually agreed mediator. Mediation or other dispute resolution will take place in Boston, Massachusetts. Any action must be commenced within one year of the claim’s accrual.

    Waiver and Severability

    Failure to enforce a provision does not waive that provision. If any provision is found invalid, the remaining provisions remain in full force.

    ESP Ventures, LLC - Mobile Terms of Service

    The ESP Ventures mobile message service (the "Service") is operated by ESP Ventures, LLC (“ESP Ventures,” “we,” or “us”). Use of the Service constitutes agreement to these Mobile Terms. We may modify or cancel the Service at any time.

    By consenting to ESP Ventures’ SMS/text messaging service, you agree to receive recurring SMS/text messages from ESP Ventures through your wireless provider. Messages may be sent using automated technology and include service updates, alerts, and promotions.

    Participation is voluntary and not required to make purchases. You are responsible for all charges from your wireless provider. Message frequency varies; standard message and data rates may apply.

    We may change short codes or phone numbers used for the Service and will notify you. Wireless carriers are not liable for delayed or undelivered messages.
